If one ever ran into Blind Joe Taggart in a dark alley, the only possible protection would be to have Blind John Henry Arnold with you. According to the famous folk singer and blues artist Josh White, there was only one man on earth who was meaner than Taggart, and that was Arnold. White obviously knew what he was talking about, having been abused and kicked around by both men, as well as the even more famous Blind Lemon Jefferson. Back in the old days when blind blues virtuoso roamed the streets displaying their genius for coins, someone had to lead them around. White was perhaps the most famous of a class of ex-lead boys for blind blues singers, a form of apprenticeship that has disappeared from the modern blues scene along with performers of the class of Taggart and his ilk. Performers trying to survive in such a lifestyle can hardly be blamed for developing what can be best described as street-hardened personalities.
Taggart was a fairly typical itinerant performer of the '20s, and most of the available information on him was handed down in interviews from White, who first met him when he was known as Joel Taggart in Greenville, SC. White's description of the difference between the two tyrants has become famous. Arnold was "mean, honest mean." Taggart, on the other hand, was "tricky, nasty mean. " Furthermore, he was not really blind, something that puts him in a subclass of blind blues musicians who actually had some vision available to them. Welp, indeed Perk has been acquired by RhythmOne. Â However, they sorta do what Perk already does, as far as hosting ads and connecting people to vendors and products. Â Our folks at the Viggle & Perk team have told us that actually nothing is going to change. Â
This isnât like Viggle being in ridiculous debt (they never turned a profit), and being virtually saved by Perk, Inc.  Perk is, for all arguments, debt-free.  Doesnât mean they have a zero balance.  It means they have the cash flow ($46M a year) to cover any ongoing debts they have.
RhythmOne is basically an advertising company (more below), so we can see how them blending with Perk is rather seamless.  Viggle changing points, etc., was an obvious change coming when Perk acquired them.  RhythmnOne isnât in the âcheck into this and get pointsâ business, so itâs more that theyâre just adding a company to their existing brand. Â
Please do not overthink, theorize, and conspire on this.  Itâs exhausting, and this acquisition is not anywhere near what the situation was when Perk acquired Viggle (which saved Viggleâs ass from extinction).  So no, you arenât losing your points, thereâs no restructure of this or that which is going to affect you as the end user. Â

At a special meeting of the shareholders of Perk held on 12 January 2017, the requisite majority of Perk shareholders voted in favor of the Company acquiring all of the issued and outstanding common shares and class A restricted voting shares of Perk (the âAcquisitionâ) by way of a court-approved âPlan of Arrangementâ.
Further, a court hearing to approve the Plan of Arrangement took place on 16 January 2017. Following the satisfaction or waiver of all other closing conditions customary for transactions of this nature, it is anticipated that completion of the Acquisition will take place on 19 January 2017 immediately upon admission to trading of the 88,235,410 new RhythmOne ordinary shares, being the total consideration for the Acquisition.
No shares are held in Treasury and accordingly, the total number of voting rights in the Company following the admittance of the new RhythmOne ordinary shares for the Acquisition and exercise of options pursuant to RhythmOne option schemes will be 494,224,203. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, RhythmOne.
