The wants and don't wants of a Paramount Skydance Warner Bros Discovery merger. #BlockTheMerger
By the time you read this, Paramount Global may or not have merged with Skydance Media, and are contemplating the sale of non-core assets…
Warner Bros Discovery has become a symbol of everything wrong with the American entertainment industry, with CEO David Zaslav becoming the…
The more you picture what a combined Paramount Skydance Warner Bros Discovery looks like, the sicker you get. I'd go as far as to say it would be unethical for such merger to happen. But, if I were to play Devil's Advocate one last time...
The Walt Disney Company had to lose an arm and a leg to complete its acquisition of 21st Century Fox. They couldn't keep Fox's broadcast (because of ABC), sports (because of ESPN), or news (because of ABC News) assets; so they were spun-off into the present-day Fox Corporation. "New" Fox, however, didn't want to keep the Fox Sports Regional Networks either. In hindsight, they dodged a bullet selling what would become Bally's Sports to Sinclair Broadcast Group.
If Paramount and Warner want to continue poisoning the well, they too will need to make a sacrifice.
Paramount pathetically offered to spin-off their children's brands to appeal to European regulators. Not only was this was an about face from their November 2025 declaration of keeping all their cable networks (mind you, most of them are worthless anyway), but everyone knows children's television has been the first domino to call in traditional television's decline. Look no further than what happened to Pop and Tiny Pop last year; on top of Family Channel in Canada.
In my opinion, Paramount needs to finish what Warner Bros Discovery started: spin-off their traditional linear TV networks (not named HBO) across the globe, and focus only on studios and streaming. At the end of the day, Paramount, Warner Bros, Paramount+, and HBO Max are the assets everyone else is focused on. Netflix and Comcast specifically wanted to acquire the studios and streaming businesses of Warner Bros Discovery. Had either company succeeded in their bids, WBD would go ahead with their previously announced plan to spin-off their media network's business into a new corporation.
Imagine a hypothetical spin-off company encompassing Paramount and Warner Bros Discovery's television networks.
CBS, America's most-watched broadcast network would be the face of the franchise, as it was after the previous Viacom incarnation was spun-off. TBS, TNT, and TNT Sports would be the crown jewel due to its portfolio of sporting rights; the most lucrative programming on the TV dial. The CBS News division and CNN would get a chance to restore their journalistic integrity (or, in the case of the latter, their dignity) after Paramount's knee-bending bullshit.
Better yet, because consolidation is cancer, the remaining assets could be spun-off into their own media companies.
A MTV-Discovery combination would make for a pure play unscripted entertainment giant. Black Twitter has longed for a BET Media Group spin-off that would make Black Entertainment Television black-owned once again. I've advocated for years that small niche brands like CMT and Logo TV could thrive if they pivot into the digital space with the right management.
UK’s CMA opens probe into Paramount Skydance’s Warner Bros. bid
As I'm typing this the United Kingdom's Competition and Markets Authority have begun their investigation into the Paramount Skydance Warner Bros Discovery merger that will conclude as early as 7 August. Meanwhile, European Union’s antitrust authority will make their ruling on the merger on 7 July. Regardless of my opinion, both entities won't allow Paramount to gobble up WBD in one piece if either of them have a backbone. Paramount Skydance must be prepared to to sacrifice more than just Nickelodeon if they want to acquire Cartoon Network's parent company.
In a perfect world, this merger would collapse, WBD would go ahead with their planned spin-off, and Paramount would go bankrupt. Alas, in that same world, the BBC wouldn't have to worry about Netflix, and ITV wouldn't entertain the thought of being acquired by Comcast.
In the real world, "perfection" is in the eyes of the rich and greedy.
