The End of GAINAX

On May 29th, Gainax Co., Ltd. filed for bankruptcy at the Tokyo District Court, and we are pleased to announce that the petition has been accepted. Since our founding in 1984, we have been involved in the production and sale of animation and video games. We have been blessed with several hits, such as "Neon Genesis Evangelion" (the copyright of which is currently held by Khara Inc.), but since around 2012, our financial situation has worsened due to poor forecasts in restaurant management, the establishment of an unplanned CG company, large unsecured loans to individual executives, and the failure to win investment contracts, which have resulted in the management and executives privatizing the company. Due to the large amount of debt created by the executives, we fell into a difficult situation, such as being expelled from the committee for non-payment of royalties and being sued for loans, and many affiliated companies bearing the name Gainax were established in local areas, represented by the executives and their associates, resulting in a large number of resignations and the loss of our animation production function as a studio. These companies have declared that they are not related to our company and have abandoned their management responsibilities. In 2018, the company's representative director, who had held the position since 1992, transferred shares to a person with no knowledge of video production, with the approval of the management at the time. In 2019, that person was arrested for sexual assault on a minor shortly after taking up the position, and the company lost its ability to operate completely while saddled with a large amount of debt. In order to resolve the confusion caused by the scandal of the former representative director, we revamped the management team in February 2020 with the kind support of Color Inc., a creditor, and have been working to understand the situation by reviewing various documents that remained under the new system. As a result, we discovered facts such as large amounts of borrowing from financial institutions, defaulting on debts to various companies in the animation industry, and selling and transferring intellectual property and production materials to companies and individuals by the above-mentioned management and operational executives without the permission of the legitimate rights holders, and we have begun to normalize these facts. With the cooperation of Khara and the directors of the new system, we have been working with the cooperating companies to confirm the rights of the works, protect the rights of the writers and creators, and properly manage and operate the intellectual property and materials that were being scattered so that the main works can be operated in the future through each production committee, but in addition to the situation where many of the former management remain shareholders, we have not been able to resolve the large amount of debt that had accumulated under the previous system. Then, in May of this year, we were sued by a debt collection company for claims, and we decided that it would be difficult to continue our business, so we filed for bankruptcy. We are very sorry to our creditors, the companies that cooperated with us, and the fans that we had no choice but to choose bankruptcy because we were unable to fully achieve our goals. We would like to once again express our gratitude to the directors of the new system who cooperated with us without compensation while the former management continued their activities using the Gainax brand without any regard for this predicament, and to Khara and other related companies who worked hard to organize and transfer the intellectual property, putting the companies to which the directors belong, the writers, and the creators first. Above all, we would like to express our sincere gratitude to our fans for their support over the past 40 years.

(Studio Gaina)" and "Fukushima Gaina" (both of which were formerly "Fukushima Gainax"), "Gainax International", "GAINAX Kyoto", "Yonago Gainax", "Gainax Niigata Co., Ltd." and "GAINAX WEST", and any future use of the Gainax trademark without a license from Color Co., Ltd. may be considered unauthorized use. We intend to provide a separate notice regarding the future use of the works that we have managed after the bankruptcy proceedings have been finalized.
