Change of Company Registered Office Address, The Registered and the listed office of a company is the rule and the law place of the company .The registered address of a company is necessary and mandatory as it is an official address where all legal documents will be served by the agencies. MODE OF CHANGE TO REGISTERED OFFICE OF COMPANY: • Within the limit of same city or Town. • Outside local limits of city but within same state under same ROC. • From one ROC to another ROC. • From One State to another State. 1. Within the limit of same city or Town:- Stakeholder may change registered office of company by passing a Board resolution and filling of Form INC-22. a. Documents required: a.) Utility bill of Proposed Registered office of the company. b.) NOC for use of Proposed Registered office of the company. c.) Board resolutions confirming Change of registered office of the company.

2. Outside local limits of city but within same state under same ROC: : Stakeholder may change registered office of company Outside local limits of city but within same state under same ROC By passing a Board resolution , special resolution in EGM/AGM and fling of form MGT-14 and INC-22. Documents required: a.) Utility bill of Proposed Registered office of the company. b.) NOC for use of Proposed Registered office of the company. c) Board resolutions and special resolution confirming Change of registered office of the company. 3. From one ROC to another ROC within the same State. Stakeholder may change registered office of the company by take approval of following: Board Resolutions. b) Special Resolutions. c) Approval of Regional Director.

d) Following form to be file to MCA.

a. MGT-14 for Special Resolution b. INC-23 for Approval of RD to shift the Registered Office from one ROC to another within the same State. c. INC-28 (Notice of Order of the Court or Tribunal or any other competent authority) . d. INC-22 within 30 days from the date of order of Regional Director. Documents required: a) Utility bill of Proposed Registered office of the company. b) NOC for use of Proposed Registered office of the company. c) Board resolutions and special resolution confirming Change of registered office of the company. 4. From One State to another State: Stakeholder may change registered office of the company from one state to another state by take approval of following: a) Board Resolutions. b) Special Resolutions. c) Approval of Regional Director. d) Following form to be file to MCA.
