Non-compete agreements (also known as non-compete clauses, or covenants not to compete) are contract laws that employees sign under the terms that as an employee, they will not enter into another job, profession, or trade, in competition with their current employer. Non-compete agreements help to ensure that no business faces any wrongful acts that may cause financial injury to the company. These acts can come from many internal sources within any given organization.

In some states however, such as Arizona, non-compete agreements are not necessarily enforceable. A non-compete agreement in Arizona may fall under what is called the “blue pencil rule,” which allows Arizona courts to remove grammatically ambiguous or unreasonable clauses in a non-compete agreement, but keep the reasonable clauses. The court may also add in alternative provisions, also known as “step-down provisions.” According to Arizona courts, step-down provisions must be written in good faith, as well as be definite, easily serviceable, and consistent. Additionally, non-contract agreement cases in Arizona result in the “loser” paying the fees of both their own attorney, as well as the defendant’s attorney.
