The acquisition is intended to strengthen Tempus' capabilities in molecular residual disease (MRD) testing by combining Personalis' tumor-informed MRD technology with Tempus' AI platform, multimodal data assets, and commercial infrastructure.

The companies have collaborated since 2023, when Tempus invested in Personalis and began commercializing its NeXT Personal MRD test. Tempus says the acquisition is expected to expand its presence across the cancer care continuum, from diagnosis and treatment selection to long-term monitoring and recurrence detection.

Under the agreement, Personalis shareholders will receive consideration valued at $16.25 per share, representing a 6% premium to the previous closing price and a 28% premium to the unaffected 30-day volume-weighted average price. The transaction is expected to close in late 2026 or early 2027, subject to shareholder approval, regulatory approvals, and customary closing conditions.

Tempus stated that the acquisition positions the combined company to compete in the growing MRD market, which it estimates as a $20 billion opportunity. Personalis reported preliminary Q2 revenue of $22.4 million and processed 10,384 clinical tests during the quarter, a 33% sequential increase in test volume.

The announcement also notes that the transaction involves customary risks and uncertainties, including the need for regulatory and shareholder approvals, successful integration of the businesses, and the possibility that anticipated synergies or financial benefits may not be realized.
