your company's ROC late fees just got 90% cheaper (for a limited time)
ok so if you've been quietly ignoring your company's pending ROC filings, hoping they'd just... go away ā bad news, they don't. but good news, the MCA just made it way cheaper to fix.
here's the deal: since 2018, missing your Annual Return (MGT-7) or Financial Statement (AOC-4) filing costs your company ā¹100/day. per form. with literally no cap. miss it for 2-3 years and you're easily looking at ā¹3-5 lakhs in penalties for paperwork you probably forgot even existed.
enter: CCFS-2026 (Companies Compliance Facilitation Scheme). it's a one-time window where you can file all your pending stuff and pay only 10% of the late fee instead of the full amount. that's a 90% discount on penalties that would otherwise just keep climbing forever.
and it's not just for companies trying to catch up ā if your company's basically inactive, you've got two more options: ā go dormant (MSC-1) at half the normal fee ā shut it down for good (STK-2) at a reduced fee too
there's also a quieter benefit people miss: filing under this scheme can give you immunity from prosecution under the Companies Act, as long as you file before getting hit with an official notice (or within 30 days of one).
the catch? this window won't stay open. the MCA has already said once it closes, ROCs go straight into enforcement mode ā which can mean director disqualification for repeat defaulters. so this isn't a "eventually get to it" kind of deadline.
if your company has pending filings sitting somewhere in the back of your mind ā now's genuinely the cheapest it's ever going to be to fix it.
