Impressed by Cypress
The Lone Cypress Tree at Pebble Beach is a symbol of one of golf's greatest courses. It is like no there, alone against no peers. It is also in the corporate logo for Cypress Semiconductor, the San Jose based technology company. My bullish scan of stocks has been dominated by technology names for over 1 month now. And today Wednesday with the pullback in the market it has dwindled down to only 7 names. 6 are in the technology space and Cypress Semiconductors is one of them.
The chart below explains the story. It shows how Cypress Semiconductor stock ($CY) fell from a high in March of 2015 to a low eventually in February of this year. It has had an uphill run since then. It crossed the 50 day SMA first in March and then the 200 day SMA in May. In the start of June it made a peak near a 50% retracement of the move lower. This happened as the chart printed a Golden Cross (the 50 day SMA crossing up through the 200 day SMA). The pullback found support at the 200 day SMA and reversed higher.
It made another new high as it continued the reversal off of the bottom. July 29th saw a shooting star candle mark a top and reversal back to the rising 50 day SMA. And then after some consolidation, a push back to that top. Until Wednesday it is pushing higher again. The Measured Move out of the recent consolidation suggests a target to 13.50. Momentum supports continued upside with the RSI in the bull zone and rising while the MACD is crossing up. As it is pushing higher there have been aggressive call buyers at the September 13 strike as well. Perhaps it is time to climb out on that rocky knoll and join it.

A theoretical short sale in Cypress Semiconductor Corp. (NYSE:CY) and in Yahoo! Inc. (NASDAQ:YHOO) was assumed closed at the end of trading Friday, September 25.
Theoretical short sales in Cree Inc. (NASDAQ:CREE) and Vertex Pharmaceuticals Inc. (NASDAQ:VRTX) are likely to be closed on Monday, September 28.

...on expectations that Greece and its lenders will reach a reform deal, potentially saving the country from default. European markets jumped over 3.8% on the prospect that key meetings will yield a solution to Greece’s debt crisis. Eurozone leaders met for an emergency summit in Brussels Monday today (plenty of headlines out – but no resolution yet). Given the optimism on Greece, M&A news, and better housing data, there were new records set intraday for the Nasdaq Composite, Nasdaq Biotech, Russell 2000, S&P SmallCap 600, and S&P Midcap 400. The S&P 500 index gained for a fourth day in five, with Energy, Financials, Health Care leading/Utilities, Materials lagging.

A merger agreement between the chipmakers wasn't completed by a June 7 deadline, which will likely mean that rival bidder Uphill Investment Co. and Cypress could keep the offers coming. Meanwhile, Starboard Value waits in the wings.

Integrated Silicon Solution Inc. (ISSI) says Cypress Semiconductor Corp. (CY) has failed to finalize a merger agreement, but the bidding war for the chipmaker isn't near the finish line quite yet.
Milpitas, Calif.-based Integrated Silicon said Monday that Cypress failed to finalize a merger agreement by June 7 and has reiterated its concerns that a tie-up between the two companies poses potential antitrust risks in U.S. and Germany.
"If Cypress truly believes that the transaction does not present significant antitrust concerns, then it should be willing to provide the contractual commitment that the ISSI board believes is in the best interests of its shareholders," Integrated Silicon said in a statement. "If Cypress had agreed to provide ISSI with protection against this antitrust risk, ISSI would have been in a position to finalize a merger agreement with Cypress this past weekend."
Cypress Semiconductor and Uphill Investment Co. have been in a bidding war for Integrated Silicon since May. The target initially agreed to a deal in March with a consortium of Chinese investors, which is now called Uphill Investment Co., before Cypress launched a rival bid in mid-May.
Integrated Silicon asserted that Cypress is putting the company's shareholders and the transaction closing at risk by "creating an opportunity for Cypress to walk away from the deal if it does not receive a favorable antitrust decision."
Integrated Silicon added that the company would be prepared to "immediately move forward" with an agreement if Cypress commits to ensure a successful closing for Integrated Silicon stockholders.
The next step is dependent upon Cypress, said a source close to the matter via phone Monday.
Though Integrated Silicon is open to continuing and working toward a deal with Cypress, the former is also obligated to move forward with the Uphill deal, this person added.
"This isn't the end of this yet," said another source close to the matter, also by phone Monday. "People don't think Cypress is going away. The antitrust issues are not serious."
This source said the stock market is eying what Cypress will choose to do next, given the tug-of-war bidding between Cypress and Uphill as well as the presence of an activist, Starboard Value LP.
Sources have previously said that, while the marriage between Cypress and Integrated Silicon could pose regulatory issues, the potential divestitures wouldn't hold much value for the combined entity. If anything, the Uphill acquisition would have more regulatory hurdles, since it could involve restructuring or selling off Integrated Silicon's Taiwanese operations plus create uncertainty about what the back end of the merger entails.
Cypress and Uphill have been in a bidding war to clinch Integrated Silicon Solution since May.
Milpitas, Calif.-based Integrated Silicon agreed in March to an offer of $19.25 per share from a consortium of Chinese investors led by Summitview Capital in the midst of an activist campaign from Starboard Value LP. The group also includes eTown MemTek Ltd., Hua Capital Management Ltd. and Huaqing Jiye.
Cypress then launched a spoiler bid of $19.75 per share in mid-May, arguing that it would have preferred to participate in Integrated Silicon's sale process but was never contacted. Uphill then sweetened its bid to $20 per share on May 29, and Cypress raised its own offer to $20.25 per share later that day.
Based on the 31.76 million outstanding shares of Integrated Silicon, Cypress' latest offer values the target at around $643 million.
Meanwhile, Starboard Value, which currently holds a 11.5% stake in the chipmaker with hedge fund Oliver Press Partners LLC, has been putting pressure on Integrated Silicon since late November.
A source familiar with the situation had previously told The Deal that Starboard is keeping a close eye on deal negotiations and is holding off on getting more involved as long as Cypress is still in the picture.
Even if Integrated Silicon agrees to a deal with Uphill, Starboard could push for the deal to get voted down and then look to replace the board, the source has said, adding that with a new board, the hedge fund could call for a sale process.
Shares of Integrated Silicon hit $20.35 midday Monday, down 1.8%. For the year, the shares are up about 22.8%.
Cypress officials couldn't be reached for comment Monday.
